IPO: Securities regulations provide stringent standards of corporate behaviour applicable to public companies, members of their governing bodies and shareholders. Our lawyers have gained extensive experience in advising on initial and secondary public offerings, international listings, public tenders and takeovers and confidentiality/disclosure obligations, with particular reference to those areas of Polish securities regulations and practice which require a profound understanding of their background and applicability (including by the Polish regulator) and go beyond the mere black-letter reading of the law.

Board duties & liability: Of particular importance is our ability to advise board members on their duties (both civil and criminal)  and other corporate governance matters, in particular in the context of a takeover (including hostile takeovers) or transactions involving the acquisition or sale of shares in the company in which they hold managerial positions, also in the context of an MBO/MBI.

Compliance: Our team works with clients to ensure they are in compliance with disclosure obligations, securities laws and stock market rules. The latter covers stock exchange related crimes.
